Word Subdivision shall mean the ORANGE BLOSSOM HILLS – SUBDIVISION located in sections 21, 22, 26, 27, and 28. twp. 17S, Rge. 23E area of Marion County, Florida and recorded in the public records by Clerk of Courts of said county. Word Organization shall mean ORANGE BLOSSOM HILLS
HOMEOWNERS ASSOCIATION, INC. Word Board shall mean BOARD OF DIRECTORS of the Organization. Words Just Cause shall be a violation of the Organization, meaning of which is at the discretion of the Board. Words He, His or Him shall mean either sex. ARTICLE I Meetings Meetings will be conducted using “Roberts Rules of Order” Section 1. Order of Business. At all meetings of the Organization the order of business shall be as follows: (a) Salute to tour nation’s Flag. (b) Prayer. (c) Roll Call of Officers and Directors (d) Introduction of Guests and Guest Speaker (e) Organization’s Business 1. Secretary reads minutes of meetings, both regular and special, held since last reading. a. Secretary reads correspondence received since last meeting. 2. Reports of Officers, 3. Reports of Committees. 4. Unfinished business. 5. New Business. 6. Good of the Organization. 7. Election of Officers and Directors (Annually) 8. Call to motion to adjourn. ARTICLE II Duties of Officers Section1. President. The President shall preside at all meetings of the Organization and of the Board and shall appoint such committees (including a committee of three to audit the Treasurer’s books during December of each year) as he or said Organization shall consider expedient or necessary. He shall have no voting power except to decide a deadlocked vote, and must have all the decisions of the Board completed and Bylaws heeded. He shall have authority, with approval of a minimum of three (3) Directors, to act for and in the name of the Organization on matters of an emergency nature between meetings of the Board of Directors. Section 2. Vice President. The Vice President shall, in the absence of the President, perform his duties and assist the President as requested by him. The Vice President will also coordinate the scheduling of speakers and other special programs at meetings. Section 3. Recording Secretary. The recording Secretary shall record and keep register of Board and Officers, minutes of all meetings of the Organization and a list of all unfinished business. He shall read these and the correspondence of the Organization as directed by the presiding Officer. He shall mail correspondence and/or meeting notices when deemed necessary. Section 4. Treasurer. The Treasurer shall have charge of all receipts and monies of said organization, to deposit them in the name of said Organization in a bank approved by the Board, and disburse the funds as ordered or authorized by the Board. He shall keep regular accounts of his receipts and disbursements, submit his record when requested, and give an itemized statement at regular meetings of said Organization. He shall sign checks and withdrawal slips in behalf of said Organization upon any and all of its bank accounts, and the same shall be honored on his signature along with the President’s or Financial Secretary’s. In the absence of the Treasurer for more then seven (7) days, he shall turn his books over to a person appointed and directed by the President to assume these duties. The Treasurer shall also keep copies of all bank withdrawals and deposit slips on file. Section 5. Financial Secretary. The Financial Secretary shall keep a record of all memberships, send out notices when renewals are due, and issue membership cards when dues are received. He shall be in charge of tickets for all organization functions and collect money from sale of same. He will assist the Treasurer when asked to do so and assume those duties in the absence of the Treasurer. The Financial Secretary is a co-signer on the Organization and Bingo bank accounts and is responsible for making deposits to those accounts in the absence of the Treasurer or Bingo Chairman. He must notify the President when he is going to be absent for more then seven (7) days, and turn his books over to a person appointed and directed by the President to assume these duties. Section 6. Officers. All Officers shall be homeowners elected for a one (1) year term and shall vote on all issues before the Board and will be included in the vote count. Presiding Officer has only one vote rights of President. Officers are under the same rules as the Board. Section 7. The order of succession shall be as follows: President, Vice President, Financial Secretary, Treasurer, and Recording Secretary. ARTICLE III Directors Section1. Directors. A director shall be a homeowner elected from the membership for the unit of the Organization he resides in and will form with other Directors to become the Board. He is elected for a three (3) year term on a staggered basis so not all are elected at one time. Each director shall be responsible for his unit with the organization or Subdivision and as a member of the Board have the power to operate the Organization within the Charter 7-33, 394 and these Bylaws’, and may be censored or disciplined by the Board for misconduct, lack of interest and/or violation of these Bylaws. Section 2, Meetings. The Board shall hold all meetings at the Community Hall, 9230 SE 154th Street, Summerfield, Florida, or should the Hall be unavailable then any place in Marion County, Florida as directed by the Presiding Officer. ARTICLE IV Compensation Neither of the Officers, Directors, nor members serving on the committees shall receive any salary or compensation for services rendered to said Organization, except such Officers and Directors shall be entitled to reimbursement for expenditures made on behalf of said Organization. This does not exclude any member from performing duties of a janitorial or maintenance nature for compensation on the Organization’s properties as contracted by the Board. ARTICLE V Dues and Memberships Section 1. Annual Dues. Annual dues for membership is in the amount of $30.00 per couple ($15.00 per single household owner) Per year, commencing with payment of first year dues and expiring the last day of the month in which one (1) year has been completed and will become due for the next year. (a) Lifetime Members. No dues shall be collected from Lifetime Members who: 1. Have been members for ten (10) years and are eighty (80) years old. Their Spouse under eighty must continue to pay dues at the single rate. All dues shall be deposited and become part of the general fund. Dues may be increased or decreased by the majority of the Board of Directors. Section 2. Membership Dues. The membership dues may be changed in the amount at the Annual Meeting be Resolution and voted by the membership body, or on a motion by the Board and placed on the ballot. Section 3. Loss of Membership. Any member shows dues expire longer then three (3) months shall automatically cease to be a member. Section 4. Regular Membership. Regular membership eligibility shall be a person or persons who own property located in the Subdivision. That membership votes at the annual meeting to elect Directors for their unit, All officers and any change in the amount of monthly meetings and voice their opinions, complaints, advice and/ or request for consideration from the floor during Good of the Organization, upon being recognized by the Presiding Officer. A member may be removed from membership for Just Cause by the Board, after two-thirds (2/3) Yes Vote of the Board, Standing, at the next regular meeting after the member has been notified by the Recording Secretary ten (10) days before the meeting. Section 5 Associate Membership. Associate membership eligibility shall be for a person or persons who are: (a) renters (b) lessees, (c) person in control of a property in the Subdivision, (d) a person who lived in a unit adjacent to the Subdivision, and only after that unit he lives in, has been accepted into the Organization for associate membership only, by a two thirds (2/3) YES vote of the Board, Stand, at the meeting it was proposed and made part of the Organization’s unit it is adjacent to. This membership is treated the same as a regular membership (including paying dues), except for not being able to vote. Section 6. Honorary Membership. An Honorary Membership is awarded to a person or persons who had been a member and moved from the Subdivision, but wishers to remain a part of and support the Organization actively, or a person who the Board feels would be an asset and benefit to the Organization by belonging, and or been in the past. The person would have to be recommended by a member of the Board. Voting for the Award shall be by two-thirds (2/3), Standing, vote of the Board at meeting when name is proposed and this member has no voting rights or dues and can be revoked for Just Cause in same manner as awarding it.
ARTICLE VI NOTICES All notices to Members shall be mailed to their addresses as given on the books of said Organization, and such mailing shall constitute presumptive evidence of service thereof. The “Orange Slice” newsletter constitutes official notice of meetings. ARTICLE VII Above revision of By-Laws replaces original by-laws adopted in 1975 by Kenneth Mathews, President; Harry Ecytcheson, Vice President; and Gino Del Corso, Treasurer and all subsequent revisions.
